We are looking for a Senior Legal Officer who will provide the legal framework that regulates the rights , responsibilities, and obligations of our organization and provide legal advice, representing our organization in legal matters, and drafting legal documents.
Should be specialized in various areas like corporate law, labor law, commercial law, personal injury, intellectual property, due diligence and work in private practices, corporations, or government agencies.
Education:
- Bachelor's degree in Law or equivalent qualification. Accreditation with the Nigerian Corporate Affairs Commission (CAC) as a licensed lawyer authorized to handle company registration and related corporate legal matters.
Professional Experience:
- At least/not less than 5 years of experience in corporate law, commercial law and labor law, including company formation and registration, particularly companies with foreign participation.
- Experience in director changes, share capital increases, registered address changes, and other corporate procedures.
- Experience in compliance, ensuring corporate activities adhere to Nigerian regulatory and legal frameworks. Experience in conducting due diligence procedures, including legal and regulatory risk assessment.
Key Responsibilities:
- Draft, review, and negotiate a variety of contracts and agreements, including vendor contracts, client agreements, and partnership agreements. Ensure contracts are legally sound and protect the company's interests.
- Provide legal advice and guidance to internal stakeholders on contract interpretation, risk assessment, and compliance issues.
- Research and analyze legal issues and regulations relevant to the organization's operations and industry.
- Support governance structures and board-related matters.
- Maintain statutory registers and corporate filings in compliance with relevant regulations.
- Monitor changes in laws, regulations, and legal trends that may impact the organization and provide recommendations for compliance.
- Develop and implement policies and procedures to ensure compliance with applicable laws and regulations.
- Manage and protect the organization's intellectual property assets, including trademarks, copyrights, and patents.
- Handle legal disputes and litigation matters.
- Conduct legal due diligence reviews for mergers, acquisitions, and other strategic transactions.
- Assist with corporate governance matters, including board meetings, resolutions, and regulatory filings.
- Prepare and maintain legal documentation, including corporate records, contracts, and regulatory filings.
- Respond to legal inquiries and requests from internal and external stakeholders in a timely and professional manner.
- Collaborate with cross-functional teams, including finance, operations, and human resources, to address legal issues and support business initiatives.
- Ensure that the organization's activities and operations are conducted in compliance with applicable laws, regulations, and ethical standards.
- Identify and mitigate potential legal risks to the business.
- Conduct research on relevant laws and precedents to build strong cases. Perform other legal tasks and responsibilities as assigned by senior management.

- Proficiency in Google Workspace (Docs, Sheets) and Microsoft Office Suite (Word, Excel).
- Use of AI is prohibited. AI chat is not a panacea – be prepared to justify your position and support your opinion with references to specific legislative and judicial acts, because in 60% of cases AI provides false information.
- Proven experience working with foreign individuals and companies, including those with foreign participation (a strong advantage)
