ABOUT THIS ROLE
The Legal officer is responsible for providing legal counsel on business matters to ensure protection against legal exposure and liability and provide sound legal risk assessment to facilitate management decision-making. The legal officer is responsible for drafting contracts across Metro Holdings diverse businesses while building and sustaining a strategic positive reputation for Metro Holdings through active interface and management of investors and key stakeholders to ensure sustained competitiveness and commercial success.
KEY RESPONSIBILITIES AND BEHAVIOURAL COMPETENCIES
- Develop and manage a risk-based legal and external affairs framework to assure legal compliance and good stakeholder relationships to achieve Metro Holdings business purpose.
- Develop and manage the legal and external affairs policies, procedures, and business plan in alignment with Metro Holdings business plan, non-market risks, and the socio-political realities in the country.
- Manage the company/corporate secretariat including the legal relationships with all stakeholders Provide sound and proactive legal advice and external affairs support for strategic business operations
- Oversee a legal and external affairs risk management system integrated into the corporate risk system, ensuring compliance and mitigating actions for material legal, external affairs, and regulatory issues.
- Provide high-quality legal and external affairs advice on all matters that affect or potentially affect Metro Holdings, interpreting laws, rulings, and external affairs regulations for the company.
- Maintain official minute books, statutory registers, and other records required under the Companies and Allied Matters Act (CAMA) and make the same available to those entitled to inspection.
- Formulation of various contracts across Metro Holding group of companies.
- Conduct due diligence on parties the Company is entering into a contractual relationship with and maintain a relationship with external legal counsel and provide in-house liaison where necessary
- Maintain ownership of the relationship with OEMs
- Provide the required legal assistance to staff of Metro Holdings in matters involving government or regulatory agencies in Nigeria during the course of carrying out their duties as employees of the Company.
- Keep up with and effectively manage the latest corporate governance and regulatory changes.
- Provide legal and external affairs advisory for major projects, commercial agreements, and other transactions ensuring business and long-term interests of the Company are protected.
- Represent and advise Metro Holdings on all forms of litigation and other legal proceedings and conflict resolution e.g., arbitration, mediation, negotiations with government (agencies)
- Execute a communications and crisis management strategy and initiatives to consistently articulate Metro Holdings mission to the public via social, physical, and print presence and regularly review the company privacy policies.
- Conduct regular audits on legal and external affairs processes and activities and implement a business improvement plan to close out identified gaps to proactively limit risk exposure
- Stay updated on legal and regulatory changes that may impact the company's operations.
REQUIRED SKILLS AND QUALIFICATIONS
- Educational Background: Bachelor of Laws, LL.B (Hons)
- Nigerian Law School (B.L) (Call to Bar Certificate)
- Experience: Minimum 3 years cognate experience post call to the bar, preferably in legal consulting in Nigeria
KEY COMPETENCE AND BEHAVIOURAL
- Self-starter, Proficiency in Microsoft Office Suite
- Strong drafting, research, and communication skills
- Advanced understanding of Nigerian laws and regulations, particularly in the construction industry.
- Ability to synthesize data into useful formats and bring actionable insights through effective communication
- Ability to handle multiple projects simultaneously and to tight timelines in a high-paced and dynamic environment
- Excellent problem-solving and project-management skills
- Knowledge of Corporate Governance, Intellectual Property, Legal Advisory and Compliance and Contract Management.
